1. Scope of the Free Trial
Springdel grants the Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Springdel platform in a designated trial environment solely for internal evaluation purposes.
The Free Trial:
- Is provided for testing and evaluation only
- Must not be used in production or mission-critical environments
- May include limited or restricted functionality
- May be modified or discontinued at any time
Springdel reserves the right to impose technical or usage limitations during the trial period.
2. Trial Term and Termination
The Free Trial begins upon account activation and continues for the period specified at registration.
Unless otherwise stated:
- The trial automatically expires at the end of the stated period
- No automatic conversion to a paid subscription occurs
- No fees are charged
Springdel may suspend or terminate the Free Trial at any time, with or without notice. The Customer may discontinue use at any time. Upon termination or expiration, access to the trial environment may be disabled and trial data may be deleted.
3. No Fees; No Obligation to Purchase
The Free Trial is provided free of charge.
The Customer is not obligated to purchase any paid services following the trial. No automatic billing or renewal will occur.
4. No Warranties; “As Is” Service
The Free Trial is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Springdel disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Uninterrupted or error-free operation
Springdel does not guarantee availability, performance, or data retention during the Free Trial. No service level agreement (SLA) applies.
5. Customer Responsibilities
The Customer is responsible for:
- All activities conducted under its account
- Maintaining confidentiality of login credentials
- Ensuring lawful use of the platform
- Backing up any data submitted to the trial environment
The Customer shall not:
- Use the platform for unlawful or unauthorized purposes
- Reverse engineer, decompile, or attempt to access source code
- Circumvent technical limitationsInterfere with system integrity or security
- Use the platform to store or transmit malicious code
6. Intellectual Property
All rights, title, and interest in and to the Springdel platform, including all intellectual property rights, remain exclusively with Springdel and its licensors. The Free Trial grants no ownership rights. The Customer receives only a limited license for evaluation purposes during the trial term.
7. Data and Privacy
Customer data submitted during the Free Trial remains the property of the Customer. Springdel may process such data solely for the purpose of providing and improving the trial services. Springdel may delete trial data upon expiration or termination of the Free Trial.
Processing of personal information is governed by Springdel’s Privacy Policy. If the Customer uploads personal data on behalf of third parties, the Customer represents and warrants that it has the necessary legal authority to do so.
8. Limitation of Liability
To the maximum extent permitted by applicable law: Springdel shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, business interruption, or loss of goodwill, arising out of or related to the Free Trial. Some jurisdictions do not allow certain limitations; in such cases, liability shall be limited to the maximum extent permitted by law.
9. Indemnification
The Customer agrees to indemnify and hold harmless Springdel, its officers, directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising from:
- The Customer’s misuse of the Free Trial
- Violation of these TermsInfringement of third-party rights
10. Modifications
Springdel may update these Terms from time to time. Continued use of the Free Trial after updates constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
